This Policy describes how we handle intellectual property (IP) matters on the Gradum SaaS platform (the Service), including copyright, trademark, and related rights. It also provides a notice‑and‑takedown process consistent with U.S. DMCA principles and the EU Digital Services Act (DSA) notice‑and‑action approach. The Service is provided B2B only.

Relationship to our Terms. This Policy forms part of our legal framework. Nothing in this Policy creates any financial obligation for Siriustech; liability is exclusively limited as set out in our Terms & Conditions.

1) Ownership and roles on the Service

  • Contributors retain full ownership of the intellectual property in the Maturity Models they submit (see our Terms).
  • Customers may use Maturity Models in the Service for internal business purposes only, unless otherwise agreed in writing with the Contributor and Siriustech.
  • Siriustech does not claim ownership of Contributor content; we provide hosting and access controls and may moderate content at our discretion.

We do not provide legal advice about third‑party rights. Each Contributor is solely responsible for ensuring that their submissions do not infringe others' rights and will indemnify Siriustech for IP claims related to their content, as set out in our Terms.

2) No general monitoring; right to act

We are not obligated to monitor content proactively. We may, however, remove or restrict access to content, suspend accounts, disable features, or take other action at our discretion in response to notices, repeat infringement, or risk of harm.

3) How to submit an IP notice (copyright, trademark, or other rights)

Send your notice to office@gradum.io with the subject line: IP Notice — [Copyright/Trademark/Other]. To help us act promptly and lawfully, include the following information:

A. For copyright claims (DMCA‑style requirements)

  1. Your identity and authority: full name, company, role, address, phone, and email; if you act for the rightsholder, identify your authority.
  2. Signature: physical or electronic.
  3. Work(s) claimed: identify the copyrighted work(s) allegedly infringed (or a representative list if many).
  4. Material and location: identify the allegedly infringing material and provide precise location(s) in the Service (e.g., workspace name, model title/ID, and direct URL if available).
  5. Good‑faith statement: a statement that you have a good‑faith belief the use is not authorized by the rightsholder, its agent, or the law.
  6. Accuracy statement: a statement that the information in the notice is accurate and, under penalty of perjury, that you are the rightsholder or authorized to act for the rightsholder.

B. For trademark claims

  1. Rightsholder identity and contact details as above.
  2. Registration details (jurisdiction, mark, classes, reg. no.) or explanation of unregistered rights (use, reputation).
  3. The challenged use, including screenshots and precise location in the Service.
  4. Why the use is infringing (e.g., likelihood of confusion, false endorsement).

C. For other rights (e.g., confidentiality, trade secrets, personality rights)

Provide a clear explanation of the right, why the use is unlawful, and the specific content and location at issue, with supporting documentation where possible.

Important: Submitting a false or abusive notice may have legal consequences. We may disclose notices (redacted where appropriate) to the affected user and, in our discretion, to transparency archives.

4) Our takedown process

  1. Review: We review notices for completeness and plausibility. We may ask for clarification.
  2. Temporary action: We may remove or restrict access to the identified material while we assess the claim.
  3. Notify the Contributor: We generally forward the notice (with your contact details) to the Contributor or account owner.
  4. Statement of reasons: If we remove or restrict content, we will issue a short statement of reasons to the Contributor (DSA‑style).
  5. Counter‑notice/appeal: The Contributor may submit a counter‑notice (see Section 5).
  6. Outcome: If the claim appears valid and no adequate counter‑notice is received, we may permanently remove the content and apply account measures. Where a proper counter‑notice is received, we may restore the content unless the notifier provides evidence of court action within the applicable timeframe.

We may take additional measures where lawful and appropriate, including geo‑blocking, rate limiting, or account suspension.

5) Counter‑notice (DMCA principles) and internal appeal

If you are a Contributor and believe your material was removed or disabled by mistake or misidentification, email office@gradum.io with the subject Counter‑Notice and include:

  1. Your full name, company, role, address, phone, and email.
  2. Identification of the material that was removed or disabled and the location before removal.
  3. A statement under penalty of perjury that you have a good‑faith belief the material was removed or disabled as a result of mistake or misidentification.
  4. Your consent to the jurisdiction of the competent courts in Bucharest, Romania, and your agreement to accept service of process from the notifier (or the notifier's agent).
  5. Your physical or electronic signature.

Timeline. Unless required to act sooner by law, we may restore access 10–14 business days after we receive a valid counter‑notice, unless we receive notice that the rightsholder has filed a court action seeking to restrain your use of the material.

Internal appeal (DSA‑style). If you disagree with our moderation decision, you may submit an internal complaint within 6 months of the decision by emailing office@gradum.io with subject Moderation Appeal. Provide the decision reference, your reasons, and supporting materials. We will review and respond in a reasonable time.

6) Repeat infringement; account measures

We may terminate or suspend accounts of repeat infringers or those who repeatedly submit unlawful content or abusive notices. We may also reduce account privileges or block uploads. Thresholds and actions are determined at our discretion based on the totality of circumstances.

7) Preservation, subpoenas, and disclosures

We may preserve information and disclose account details, logs, and content to competent authorities or third parties when legally required (e.g., in response to valid subpoenas, court orders, or regulatory requests) or to protect rights, safety, and the integrity of the Service.

8) Miscellaneous

  • No financial liability. Nothing in this Policy creates any obligation for Siriustech to pay damages, penalties, or other monetary relief. Remedies are limited to those in our Terms.
  • Language and venue. This Policy is drafted in English and governed by Romanian law; disputes are subject to the exclusive jurisdiction of the courts of Bucharest, Romania, as set out in the Terms.
  • Updates. We may update this Policy from time to time; the Effective date above shows when it last changed.
